An LLC is a hybrid business structure designed to offer
the limited liability of a corporation as
well as the tax efficiency and operational flexibility
of a sole proprietor or partnership. Owners of an LLC are
called members and the law affords protections for the personal
assets of these members. An LLC business entity can file
a federal tax return as either a corporation, partnership
or sole proprietorship and is formed by filing articles
of organization with the Secretary of State.
*IMPORTANT STATE REQUIREMENT: All new LLC's and Corporations
must announce to the general public the formation of this
new entity by publishing a specifically worded advertisement
in the "Public Notice" section of 2 separate newspapers

From NY DOS website: "Publication must be done once
a week for six successive weeks in two newspapers in the
county in which the office of the limited liability entity
is located. One newspaper must be "printed daily"
and the other "printed weekly." The newspapers
must be designated by the county clerk...Limited liability
entities that are formed or authorized to do business in
New York after June 1, 2006, which fail to comply with the
publication requirements within 120 days after their formation
or qualification will have their authority to carry on,
conduct or transact any business suspended."

A corporation
(as described by the DOS) is a person or group of
people who establish a legal entity by filing articles of
incorporation with the state's secretary of state granting
it certain legal powers, rights, privileges,
and
liabilities. The existence of the corporation begins upon
the filing of the Certificate of Incorporation with the
Department of State. After the corporate existence has begun,
an organization meeting of the incorporator or incorporators
must be held for the purpose of adopting by-laws, electing
directors and transacting any other business.The corporation
is required to keep correct and complete books and records
of account and must keep minutes of the proceedings of its
shareholders, board of directors and executive committee,
if any.
